Terms of Service

1. Who these Terms are between

These Terms are an agreement between you and Saarathi Academy For Digital Excellence Pvt. Ltd., a private limited company registered in Nepal with offices at Old Baneshwor, Kathmandu (“Saarathi Academy”, “we”, “us”). If you do not agree to these Terms, do not use the website, the workspace, or our services.

2. Eligibility and account

• You must be at least sixteen (16) years old to create an account or enrol.
• If you are under eighteen (18), a parent or legal guardian must counter-sign your enrolment and agree to these Terms on your behalf.
• You agree to provide accurate, current, and complete information during admission and to keep it updated in your account.
• You are responsible for safeguarding your password, Google sign-in, and any access tokens, and for all activity that occurs under your account. Tell us immediately if you suspect unauthorised access.
• Accounts are personal. You may not share, lend, or transfer your account to anyone else.

3. Admissions, batches, and seats

• Admission is gated by the Saarathi Gate Assessment. Submitting the assessment does not guarantee a seat. We make the final batch placement decision based on aptitude, schedule fit, and seat availability.
• Each batch is capped at ten (10) seats. Seats are confirmed only after the program fee, or the first instalment under an approved plan, is received and cleared.
• Schedules, syllabi, mentors, delivery modes (in-person, online, hybrid), and the venue may change for operational reasons. We will publish replacements at least seven (7) days before they take effect when feasible.

4. Fees and payment

• The fee for each program is published on the relevant course page and on the invoice we issue to you. All fees are in Nepali Rupees (NPR) unless explicitly stated otherwise.
• Payment may be made in full or under an instalment plan we offer in writing. Missed instalment payments may, after written notice, suspend access to live classes and the workspace until cleared.
• We may revise published fees from time to time. Once your seat is confirmed, your fee for that program is locked at the price stated on your invoice.
• Tax-compliant receipts are available on request and require accurate PAN details.

5. Refunds and cancellations

Refunds, cooling-off windows, batch cancellations, and the process to claim a refund are covered in our Refund Policy, which forms part of these Terms.

6. Code of conduct

To keep our classroom and workspace useful and safe, you agree not to:

• Harass, threaten, intimidate, or discriminate against any student, mentor, or staff.
• Share course materials, recordings, assessment questions, or other Saarathi-owned content outside your enrolled batch without our written permission.
• Submit work that is not yours and claim it as your own, including paid work, copied work, or fully AI-generated work passed off as original effort. Using AI tools is allowed when disclosed and used as a coding aid, not as a replacement for learning.
• Disrupt classes, the workspace, or our infrastructure. This includes unauthorised access attempts, scraping, reverse engineering, automated abuse, and denial-of-service.
• Record, screen-capture, or live-stream classes for distribution outside the batch. Classes are already recorded officially and shared with enrolled members; redistribution is not permitted.
• Use the platform for any unlawful purpose.

We may issue warnings, suspend, or terminate the account of anyone who violates this code. For serious violations, we reserve the right to revoke enrolment without refund.

7. Class recordings and participation

• Live classes are recorded by default for the benefit of enrolled students who miss a session. By joining a class you consent to being recorded. You may keep your camera off; we recommend doing so if you do not wish to appear on video.
• Recordings are shared only with enrolled batch members through Google Drive and the learner workspace. You agree not to download, re-share, or republish them outside this audience.

8. Intellectual property

• All course materials, slides, recordings, code templates, assessments, and the Saarathi Academy brand are owned by us or our licensors and protected by Nepali and international copyright law. You receive a personal, non-transferable, non-sublicensable licence to use these materials for your own learning while enrolled and for personal reference afterwards. You may not redistribute them.
• You retain ownership of the original code, designs, and content you create for assignments and capstones. You grant Saarathi Academy a non-exclusive, royalty-free licence to display your work for instructional, evaluative, and marketing purposes with attribution. If you would like a project removed from our marketing materials, email [email protected] and we will take it down within a reasonable period.
• Open-source code, libraries, and assets used in coursework remain governed by the licences shipped with them.

9. Career outcomes and no job guarantee

We do our best to make every graduate hireable through projects, mentorship, mock interviews, resume and LinkedIn reviews, and direct introductions to our hiring partners. We do not guarantee a job, an internship, a specific salary, a visa, or admission to any external program. Career outcomes depend on your effort, the market, and circumstances outside our control.

10. Third-party services

Our platform integrates with third-party services such as Google Workspace, payment gateways, and SMS providers. Your use of those services is also governed by the third party’s own terms and privacy policy. We are not responsible for actions taken by third parties outside our control.

11. Suspension and termination

• You can leave Saarathi Academy at any time. Refund eligibility is governed by the Refund Policy.
• We can suspend or terminate your access to all or part of the platform if you breach these Terms, if you put others at risk, or if we are required to do so by law. Where reasonable, we will give you notice and a chance to fix the issue.
• Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnity, and governing law, survive.

12. Disclaimers

The platform is provided on an “as is” and “as available” basis. While we work hard on quality and uptime, we do not warrant that the platform will be uninterrupted, error-free, or free of harmful components. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the maximum extent permitted by Nepali law, Saarathi Academy, its directors, employees, mentors, and partners are not liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost data, or lost opportunities arising from your use of the platform. Our aggregate liability for any claim arising out of or related to these Terms or the platform is limited to the amount you paid us for the program from which the claim arose in the twelve (12) months preceding the event giving rise to the claim.

14. Indemnity

You agree to defend, indemnify, and hold harmless Saarathi Academy from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with your breach of these Terms, your misuse of the platform, or your violation of any law or the rights of a third party.

15. Privacy

Your privacy matters. The information we collect and how we handle it are described in our Privacy Policy, which forms part of these Terms.

16. Governing law and jurisdiction

These Terms are governed by the laws of the Federal Democratic Republic of Nepal. Any dispute arising from these Terms or the platform that is not resolved through good-faith discussion within thirty (30) days will be subject to the exclusive jurisdiction of the competent courts at Kathmandu.

17. Changes to these Terms

We may update these Terms when our services, partners, or applicable laws change. The “Effective date” at the top reflects the latest version. For material changes we notify enrolled learners by email at least seven (7) days before they take effect. Continuing to use the platform after the effective date constitutes acceptance.

18. General

• If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
• Our failure to enforce any right or provision is not a waiver of that right or provision.
• You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• These Terms, together with the linked policies, are the entire agreement between you and Saarathi Academy regarding the platform.
